1.Who is Medley Capital Corporation?
 Medley Capital Corporation is a closed-end, externally managed investment company that has elected to be treated as a business development company under the Investment Company Act of 1940 and intends to be taxed as a regulated investment company under Subchapter M of the Internal Revenue Code.

2.What is Medley Capital Corporation's investment objective?
 Medley Capital Corporation’s objective is to generate current income and capital appreciation by lending directly to privately-held small and middle market companies to help these companies expand their businesses, refinance and make acquisitions. Our portfolio generally consists of first lien senior secured loans and second lien senior secured loans. In many of our investments, we will receive warrants or other equity participation features which we believe will increase the total investment returns.

7.Does Medley Capital Corporation have a Dividend Reinvestment Plan (DRIP)?
 Yes. Registered shareholders are automatically enrolled in the dividend reinvestment plan and any cash dividends we declare will be automatically reinvested in additional shares of our common stock. If you hold your shares through a broker, please contact your broker to inquire about dividend reinvestment options, including participating in MCC's dividend reinvestment plan administered by American Stock Transfer & Trust Company.

8.How can I opt out of the Dividend Reinvestment Plan?
 A stockholder may elect to receive an entire distribution in cash by notifying American Stock Transfer & Trust Company, the transfer agent and plan administrator, in writing so that such notice is received by the plan administrator no later than the record date for distributions to stockholders. Those stockholders whose shares are held by a broker or other financial intermediary may receive dividends in cash by notifying their broker or other financial intermediary of their election.

9.Are dividends taxable to shareholders and, if so, at what rate?
 Dividends are generally taxable in the year in which they are declared by Medley Capital Corporation. Following the end of each year we provide a Form 1099-DIV and a tax status letter to shareholders that describe the taxability of the dividends paid in the preceding year, including a breakdown between ordinary income and capital gains. DRIP participants are taxed on the dividends as if they had received cash. For information about taxes in respect of dividends received by you, you should consult your own tax advisor.
